Buyer Terms of Use

This is the agreement between Kelity LLC (“Kelity,” “we”) and the person or business (“you,” “buyer”) accessing opportunity-signal data through the Kelity portal — whether via a one-time Tier 1 purchase, a Tier 2/3 subscription, or the free-browse tier.

What you’re buying: a license, not the data itself

Kelity grants you a non-exclusive, non-transferable license to use the signals you access for your own internal business use — evaluating and pursuing opportunities with Ohio public entities. You may not resell, republish, redistribute, or bulk-export Kelity’s structured signal data to any third party, and you may not use automated tools to scrape or mirror the portal beyond normal interactive use.

No accuracy guarantee — traceability only

Every signal is sourced and linked to its original public record. Verify before you bid or act on it. Kelity does not warrant the accuracy, completeness, or currency of any signal — extraction is automated and can contain errors.

Never a channel for targeting an entity

You agree not to use any signal to target, harass, exploit, or otherwise act against the interests of the public entity it’s about. Kelity does not sell, and will not sell you, a specific entity’s compliance gaps, vulnerabilities, or other negative/non-public information — only forward-looking opportunity signals drawn from public records. Payment, billing, and cancellation

Tier 1 (pay-per-lead): a one-time fee for a single lead’s fulfillment email. Once sent, the lead is non-refundable except where Kelity fails to deliver the fulfillment email at all.

Tier 2/Tier 3 (subscriptions): billed monthly via Stripe, 14-day free trial, cancel any time through the billing portal linked from your dashboard. Canceling stops future charges at the end of the current billing period; you keep access to leads already alerted.

Liability

Limitation of damages. To the maximum extent permitted by law, Kelity’s total liability for all claims arising out of or related to this agreement or the Kelity portal — regardless of legal theory — is capped at the greater of (a) fees you paid Kelity in the 12 months preceding the claim, or (b) $500.

No consequential damages. Kelity is not liable for indirect, incidental, consequential, special, or punitive damages, including lost business opportunity or lost profit, even if advised such damages were possible.

Termination

Kelity may suspend or terminate your access for violating the license scope or no-targeting sections above at any time. You may cancel a subscription per the payment terms above.

Governing law

This agreement is governed by the laws of the State of Ohio, without regard to conflict-of-laws principles.
